§ 23-231.20. Board of trustees; membership; appointments; terms; compensationand expenses; officers.

A. The Institute shall be governed by a 15-member Board of Trusteesconsisting of the presidents or their designees of Averett University,Danville Community College, and Virginia Polytechnic Institute and StateUniversity; the chairman or his designee of the Board of the Future of thePiedmont Foundation; one resident of the City of Danville to be appointed bythe Danville City Council; one resident of Pittsylvania County to beappointed by the Pittsylvania County Board of Supervisors; and nine citizensrepresenting business and industry and residing in Southside Virginia, threeto be appointed by the Governor, three to be appointed by the SenateCommittee on Rules, and three to be appointed by the Speaker of the House ofDelegates. All members appointed shall be nonelected citizens of theCommonwealth.

B. The presidents or their designees of the named institutions of highereducation and the chairman or his designee of the Board of the Future of thePiedmont Foundation shall serve terms coincident with their terms of office.Of the initial citizen appointments to be made in 2004, one appointee each bythe Governor, the Speaker of the House of Delegates, and the Senate Committeeon Rules shall serve for one-year terms and one appointee each by theGovernor, the Speaker of the House of Delegates, and the Senate shall servefor two-year terms.

After the initial staggering of terms, all citizen appointments shall be forterms of three years, except that appointments to fill vacancies shall be forthe unexpired terms. No citizen member of the Board shall be eligible toserve more than two successive three-year terms; however, after expiration ofa term of less than three years, or after the remainder of a three-year termto which a member was appointed to fill a vacancy, a member may serve twoadditional three-year terms, if so appointed.

C. The Board shall elect a chairman and vice-chairman from among its membersand may establish bylaws as necessary.

D. Members of the Board shall not be entitled to receive compensation. Allmembers shall be reimbursed for all reasonable and necessary expensesincurred in the performance of their duties as provided in §§ 2.2-2813 and2.2-2825. Funding for the cost of expenses of the members shall be providedby the Institute.
