§ 15.2-6605. Organization.

A simple majority of the directors in office shall constitute a quorum. Novacancy in the membership of the Authority shall impair the right of a quorumto exercise all the rights and perform all the duties of the Authority.

The Authority shall hold regular meetings at such times and places as may beestablished by its bylaws duly adopted and published at the organizationalmeeting of that body.

The board of directors shall annually elect a chairman and a vice-chairmanfrom their membership, a secretary and a treasurer or a secretary-treasurerfrom their membership or not as they deem appropriate, and such otherofficers as they may deem appropriate.

The board of directors may make and from time to time amend and repealbylaws, not inconsistent with this act, governing the manner in which theAuthority's business may be transacted and in which the power granted to itmay be enjoyed. The board of directors may appoint such committees as theymay deem advisable and fix the duties and responsibilities of such committees.
