Unless displaced by this chapter, the principles of law and equity, including merchant lawand the law relating to principal and agent, equitable subordination, estoppel, laches, fraud,misrepresentation, duress, coercion, mistake, insolvency, or other validating or invalidating cause,supplement this chapter's provisions.
