46A-7A-42. Time and place of regular meetings--Special meetings--Quorum--Majority approval for action--Meetings open to public. The board, as soon as practicable, shall establish regular meeting times and places. It shall hold a regular meeting each month on a day specified in the bylaws of the district at such time and at such place as the president shall designate. The board may hold such special meetings as are required for proper transaction of business. All special meetings shall be ordered by the president of the board, the order to be entered of record and five days' notice thereof shall be given to each member unless notice is either waived in writing or by the presence of the director at the special meeting. The president also shall order a special meeting upon the request of any two directors. The order shall specify the business to be transacted and no other business than that specified may be transacted. Any meetings of the board shall be public. A majority of board members shall constitute a quorum for transaction of business. Upon any question requiring a vote, there shall be a concurrence of at least a majority of the members present to affirm the decision.
