SECTION 7-6-81

   § 7-6-81  Merger of foreign corporationauthorized to conduct affairs in this state. – Whenever a foreign corporation authorized to conduct affairs in this state is aparty to a statutory merger permitted by the laws of the state or country underthe laws of which it is incorporated, and the corporation is the survivingcorporation, it shall, within thirty (30) days after the merger becomeseffective, file with the secretary of state a copy of the articles of mergerduly certified by the proper officer of the state or country under the laws ofwhich the statutory merger was effected. It is not necessary for thecorporation to procure either a new or amended certificate of authority toconduct affairs in this state unless the name of the corporation is changed bythe merger or unless the corporation desires to pursue in this state other oradditional purposes than those which it is then authorized to pursue in thisstate.
