§ 7-16-53 Cancellation of registration offoreign limited liability company. – A foreign limited liability company may cancel its registration by filing withthe secretary of state a certificate of cancellation signed by a person withauthority to do so under the laws of the state or other jurisdiction of itsorganization, or, if the foreign limited liability company is under thesupervision of a receiver or trustee, by the receiver or trustee on behalf ofthe foreign limited liability company. In filing a certificate of cancellation,the foreign limited liability company revokes the authority of its residentagent to accept service of process and consents that service of process in anyaction, suit, or proceeding based upon any cause of action arising in thisstate during the time the foreign limited liability company was authorized totransact business in this state may subsequently be made on the foreign limitedliability company by service on the secretary of state. The certificate ofcancellation must include the post office address to which the secretary ofstate may mail a copy of any process against the foreign limited liabilitycompany that is served on the secretary of state.
