SECTION 7-13-5
§ 7-13-5 Records to be kept. – Each limited partnership shall keep at the office referred to in §7-13-4(1) the following:
(1) A current list of the full name and last known businessaddress of all partners separately identifying in alphabetical order, thegeneral partners and limited partners;
(2) A copy of the certificate of limited partnership and allcertificates of amendment to it, together with executed copies of any powers ofattorney pursuant to which any certificate has been executed;
(3) Copies of the limited partnership's federal, state, andlocal income tax returns and reports, if any, for the three (3) most recentyears;
(4) Copies of any then effective written partnershipagreements and of any financial statements of the limited partnerships for thethree (3) most recent years. Those records are subject to inspection andcopying at the reasonable request, and at the expense, of any partner duringordinary business hours;
(5) Unless contained in a written partnership agreement, awriting setting out:
(i) The amount of cash and a description and statement of theagreed value of the other property or services contributed by each partner andwhich each partner has agreed to contribute;
(ii) The times at which or events on the happening of whichany additional contributions agreed to be made by each partner are to be made;
(iii) Any right of a partner to receive distribution, or of ageneral partner to make distributions to a partner, that include a return ofall or any part of the partner's contribution; and
(iv) Any events upon the happening of which the limitedpartnership is to be dissolved and its affairs wound up.
