8513 - Cancellation of certificate.

     § 8513.  Cancellation of certificate.        (a)  General rule.--A certificate of limited partnership     shall be canceled upon the dissolution and the commencement of     winding up of the limited partnership or at any other time there     are no limited partners. The certificate of cancellation shall     set forth:            (1)  The name of the limited partnership.            (2)  The date of filing of its original certificate of        limited partnership.            (3)  The reason for filing the certificate of        cancellation.            (4)  The effective date (which shall be a date certain)        of cancellation if it is not to be effective upon the filing        of the certificate.            (5)  Any other information the general partners filing        the certificate determine.        (b)  Filing.--The certificate of cancellation and the     certificates or statement required by section 139 (relating to     tax clearance of certain fundamental transactions) shall be     filed in the department.        (c)  Effectiveness of certificate of cancellation.--Upon the     filing of the certificate of cancellation in the department or     upon the effective date specified in the certificate of     cancellation, whichever is later, the certificate of     cancellation shall become effective and the certificate of     limited partnership shall be canceled.        (d)  Dissolution by domestication.--Whenever a domestic     limited partnership has domesticated itself under the laws of     another jurisdiction by action similar to that provided by     section 8590 (relating to domestication) and has authorized that     action by the vote required by this chapter for the approval of     a proposal that the limited partnership dissolve voluntarily,     the limited partnership may surrender its certificate of limited     partnership under the laws of this Commonwealth by filing in the     department a certificate of cancellation under subsection (a).
