§ 57C‑7‑01. Lawgoverning.
The laws of the state or otherjurisdiction under which a foreign limited liability company is formed shallgovern its formation, organization, and internal affairs and the liability ofits managers and members, regardless of whether the foreign limited liabilitycompany procured or should have procured a certificate of authority under thisChapter, and a foreign limited liability company shall not be denied acertificate of authority by reason of any difference between the laws underwhich it is formed and the laws of this State. A foreign limited liabilitycompany with a valid certificate of authority has the same but no greaterrights and has the same but no greater privileges as, and is subject to thesame duties, restrictions, penalties, and liabilities now or later imposed on,a domestic limited liability company of like character.
