§55A‑8‑03. Number of directors.
(a) A board ofdirectors shall consist of one or more natural persons, with the numberspecified in or fixed in accordance with the articles of incorporation orbylaws.
(b) The number ofdirectors may be increased or decreased from time to time by amendment to or inthe manner prescribed in the articles of incorporation or bylaws.
(c) The articles ofincorporation or bylaws may establish a variable range for the size of theboard of directors by fixing a minimum and maximum number of directors. If avariable range is established, the number of directors may be fixed or changedfrom time to time, within the minimum and maximum, by the members entitled tovote for directors or (unless the articles of incorporation or an agreementvalid under G.S. 55A‑7‑30 shall otherwise provide) the board ofdirectors. If the corporation has members entitled to vote for directors, onlysuch members may change the range for the size of the board or change from afixed to a variable‑range size board or vice versa.
