§55A‑7‑06. Waiver of notice.
(a) A member may waiveany notice required by this Chapter, the articles of incorporation, or bylawsbefore or after the date and time stated in the notice. The waiver shall be inwriting, be signed by the member entitled to the notice, and be delivered tothe corporation for inclusion in the minutes or filing with the corporaterecords.
(b) A member'sattendance at a meeting:
(1) Waives objection tolack of notice or defective notice of the meeting, unless the member at the beginningof the meeting objects to holding the meeting or conducting business at themeeting; and
(2) Waives objection toconsideration of a particular matter at the meeting that is not within thepurpose or purposes described in the meeting notice, unless the member objectsto considering the matter before it is voted upon. (1955, c. 1230; 1993, c. 398,s. 1.)
