§54C‑103. Duties and liabilities of officers and directors to theirassociations.
Officers and directors of aState savings bank shall act in a fiduciary capacity towards the savings bankand its members or stockholders. They shall discharge duties of theirrespective positions in good faith, and with that diligence and care whichordinarily prudent persons would exercise under similar circumstances in likepositions.
