Application for certificate of authority, contents (foreign company).
375.811. 1. A foreign insurance company in order to secure acertificate of authority to transact business in this state shall makeapplication therefor to the director. The application shall set forth:
(1) The name of the company and the state under the laws of* which itwas incorporated or organized;
(2) The date of its incorporation and the period of its duration;
(3) The address, including street and number of its principal office, inthe state under the laws of which it is organized;
(4) The names of the states and countries, if any, in which it isadmitted or qualified to transact business;
(5) The kinds of insurance it is authorized to write in its state oforganization;
(6) The kinds of insurance it proposes to write in this state;
(7) A statement of the aggregate number of shares it has outstanding, ifany, and the par value thereof and the amount of surplus as regards topolicyholders; and
(8) Any additional information which the director may require to enablehim to determine whether the company is entitled to a certificate of authorityto transact business in this state and to determine and assess the taxes, feesand charges payable as prescribed by Missouri law.
2. The application shall be made on forms prescribed and furnished bythe director and shall be executed by the company by its president or a vicepresident or executive officer corresponding thereto and verified by theofficer, and if a corporation, the corporate seal shall be thereto affixed,attested by its secretary or other proper officer.
3. There shall be delivered to the director the application for thecertificate of authority, and attached thereto shall be the following:
(1) A copy of its articles of incorporation or articles of associationas amended, duly certified by the proper officer of the state under whose lawsthe company is organized or incorporated;
(2) A copy of its bylaws or regulations and if a fraternal benefitsociety, a copy of its constitution certified by its secretary or officercorresponding thereto;
(3) A certificate from the proper official of the state or countrywherein the company is incorporated or organized that it is duly incorporatedor organized and is authorized to write the kinds of insurance which itproposes to write in this state and is duly licensed to do business in itshome state;
(4) The appointment of the Missouri director of the department ofinsurance, financial institutions and professional registration as attorney toaccept service of legal process in Missouri executed on the forms furnished byhis office as prescribed by section 375.906;
(5) A copy of the most recent annual statement of the company on thestandard form prescribed by the National Association of InsuranceCommissioners or a financial statement as of such later date as the directormay require;
(6) A copy of the last report of examination certified to by aninsurance commissioner or other proper supervisory official;
(7) Duplicate copies of all policy forms which the company proposes touse in this state;
(8) A biographical sketch of the directors and officers of the companylisted on the annual statement submitted by the company; and
(9) Such other information as the director deems necessary.
