173.365. Four members of the authority shall constitute aquorum for the purpose of conducting business and exercising thepowers of the authority. Action may be taken by the authorityupon the affirmative vote of at least four of its members.Members may participate in a meeting by means of conferencetelephone or similar communications equipment whereby all personsparticipating in or attending the meeting can communicate witheach other, and participation in a meeting in this manner shallconstitute presence in person at the meeting for all purposes.Each meeting of the authority for any purpose whatsoever shall beopen to the public. Notice of meetings shall be given asprovided in the bylaws of the authority. The proceedings andactions of the authority shall comply with all statutoryrequirements respecting the conduct of public business by apublic agency. Members of the authority shall receive nocompensation for services but shall be entitled to reimbursementfor necessary expenses, including traveling and lodging expenses,incurred in the discharge of their duties. Any payment forexpenses shall be paid from funds of the authority.
