Same; annual meeting; notice;elections.In not less than 12 months, nor more than 13 monthsafter the recording of the certificates of incorporation, a meeting shallbe held for the election of directors. Eachdirector shall be elected for a term of four years and until asuccessor is elected and qualified. Notice of the meeting shall be givenat least 10 days prior to the date thereof by one publication in anewspaper of general circulation in each of the counties of whichthe district is a part. Elections shall be by ballot. Qualified votersshall be entitled to vote at any such meeting. The directors shall fillany vacancy occurring on the board prior to the expiration of the termof any director by electing a substitute director to serve for theunexpired term. All elections, except the first, shall be held on the firstTuesday in April and every four years thereafter.
The directors shall meet at least once each year. Notice of the annualmeeting shall be given at least 10 days prior to the meeting by one publicationin a newspaper of general circulation in each of the counties of which thedistrict is a part. The number of directors of a district or the date of the annualmeeting, or both, may be changed at an annual meeting if notice of theproposition of making the change or changes aregiven at the annualmeeting immediately preceding the annual meeting at which the change orchanges are considered. If the number of directors is proposed to bechanged, the proposition shall be introduced in the same manner as otheritems of business. It shall be the duty of the board of directors toinclude the proposition in the notice of the annual meeting at which thechanges are being considered. If a majority of those voting are infavor thereof, the election of directors shall be in conformance withthe adopted proposal and all powers shall be exercised by the newlyconstituted board beginning immediately after the annual meeting.
