490A.1320 GROUNDS FOR ADMINISTRATIVE DISSOLUTION. The secretary of state may commence a proceeding under section 490A.1321 to administratively dissolve a limited liability company if any of the following apply: 1. The limited liability company has not delivered a biennial report to the secretary of state in a form that meets the requirements of section 490A.131 within sixty days after it is due, or has not paid the filing fee as determined by the secretary of state within sixty days after it is due. 2. The limited liability company is without a registered office or registered agent in this state as required in subchapter V for sixty days or more. 3. The limited liability company does not notify the secretary of state within sixty days that its registered office or registered agent as required in subchapter V has been changed, its registered office has been discontinued, or that its registered agent has resigned. 4. The limited liability company's period of duration stated in its articles of organization expires.Section History: Recent Form
