490A.1101 - AMENDMENT OF ARTICLES OF ORGANIZATION.

        490A.1101  AMENDMENT OF ARTICLES OF ORGANIZATION.         1.  A limited liability company may amend its articles of      organization at any time to add or change a provision that is      required or permitted in the articles of organization or to delete a      provision not required in the articles of organization by delivering      articles of amendment to the secretary of state for filing.  Whether      a provision is required or permitted for the articles of organization      is determined as of the effective date of the amendment.         2.  To amend its articles of organization, a limited liability      company shall deliver to the secretary of state for filing articles      of amendment setting forth all of the following:         a.  The name of the limited liability company.         b.  The text of each amendment adopted.         c.  The date of each amendment's adoption.         d.  A statement that the amendment was adopted by a vote of      the members in accordance with this chapter.
